Terms of Use
These Terms of Use (hereinafter referred to as “these Terms”) set forth the terms and conditions for the use of the online shop (hereinafter referred to as “the Service”) operated by SUNS LLC (hereinafter referred to as “the Company”).
All registered users (hereinafter referred to as “Users”) shall use the Service in accordance with these Terms.
Article 1 (Application)

These Terms shall apply to all relationships related to the use of the Service between the User and the Company.

In addition to these Terms, the Company may establish separate rules and guidelines (hereinafter collectively referred to as “Individual Provisions”) for the use of the Service. These Individual Provisions shall form part of these Terms, regardless of their name.

In the event that the provisions of these Terms conflict with the Individual Provisions, the Individual Provisions shall prevail unless otherwise specified.
Article 2 (User Registration)

A person wishing to register shall apply for registration according to the method specified by the Company after agreeing to these Terms, and registration shall be completed when the Company approves the application and notifies the applicant.

The Company may refuse to approve an application for registration if it determines that any of the following applies, and the Company shall have no obligation to disclose the reason:

False information was provided during the registration process.

The applicant has previously violated these Terms.

The Company otherwise deems the registration inappropriate.

Article 3 (Management of User ID and Password)

Users shall manage their User IDs and passwords under their own responsibility.

Users shall not transfer or lend their User IDs or passwords to any third party, nor share them. The Company shall regard any login using a matching ID and password as the use by the registered User.

The Company shall not be liable for any damages arising from unauthorized use of User IDs or passwords, except in cases of intentional misconduct or gross negligence by the Company.
Article 4 (Sales Contract)

A purchase contract shall be deemed concluded when the User applies to purchase a product and the Company accepts such application by notification. Ownership of the product shall transfer to the User at the time the Company delivers it to the shipping carrier.

The Company may cancel the contract without prior notice if:

The User violates these Terms.

Delivery cannot be completed due to an unknown address or prolonged absence.

The Company deems that trust between the User and the Company has been lost.

Payment, delivery, cancellation, and return procedures shall follow methods separately designated by the Company.
Article 5 (Intellectual Property Rights)
All copyrights and other intellectual property rights relating to product images and other content (hereinafter “Content”) provided through the Service belong to the Company or legitimate right holders. Users may not reproduce, transmit, alter, or otherwise use such Content without authorization.
Article 6 (Prohibited Acts)
Users shall not engage in any of the following acts while using the Service:

Acts that violate laws or public order and morals.

Acts related to criminal behavior.

Infringement of intellectual property rights, including copyrights and trademarks.

Disruption or destruction of servers or networks.
-
Commercial use of information obtained through the Service.

Interference with the operation of the Service.

Unauthorized access or attempts thereof.

Collection or storage of other Users’ personal information.

Impersonation of other Users.
-
Providing benefits to antisocial forces.

Any other acts deemed inappropriate by the Company.
Article 7 (Suspension of the Service)
The Company may suspend or interrupt the Service without prior notice in the following cases:

For maintenance or updates of the system.

Due to natural disasters, power outages, or other force majeure.

Due to accidents involving computers or communication lines.

When the Company deems continuation of the Service difficult.
The Company shall not be liable for any damages or losses incurred by Users or third parties due to such suspension or interruption.
Article 8 (Usage Restriction and Deregistration)
The Company may restrict a User’s use of all or part of the Service or delete their registration without prior notice if:

The User violates any provision of these Terms.

False information is found in registration details.

The User’s credit card has been suspended.

The User fails to fulfill payment obligations.

The User fails to respond to Company communications for a certain period.

The Service has not been used for a certain period.

The Company deems continued use inappropriate.
The Company shall not be liable for any damages caused by actions taken under this Article.
Article 9 (Withdrawal)
Users may withdraw from the Service through the procedures prescribed by the Company.
Article 10 (Disclaimer of Warranty and Limitation of Liability)

The Company does not guarantee that the Service is free from defects (including issues with safety, reliability, accuracy, completeness, validity, fitness for a particular purpose, or security).

The Company shall not be liable for any damages arising from the use of the Service. However, if the contract between the User and the Company constitutes a “consumer contract” under the Consumer Contract Act of Japan, this exemption shall not apply. In such cases, the Company shall only be liable for foreseeable damages caused by negligence (excluding gross negligence).

The Company shall not be involved in or responsible for any disputes between Users or between Users and third parties.
Article 11 (Changes to Service Content)
The Company may change or discontinue the content of the Service without notice and shall not be liable for any resulting damages.
Article 12 (Amendments to Terms)
The Company may amend these Terms at any time without notice. Continued use of the Service after any amendment shall constitute acceptance of the revised Terms.
Article 13 (Handling of Personal Information)
Personal information obtained through the Service shall be appropriately handled in accordance with the Company’s Privacy Policy.
Article 14 (Notices and Communication)
Notices and communications between the User and the Company shall be conducted in a manner designated by the Company. Unless otherwise notified, communications sent to the User’s registered contact shall be deemed delivered when dispatched.
Article 15 (Prohibition of Transfer of Rights and Obligations)
Users may not transfer or offer as collateral their contractual position or any rights or obligations under these Terms without the Company’s prior written consent.
Article 16 (Governing Law and Jurisdiction)
These Terms shall be governed by and construed in accordance with the laws of Japan.
In the event of any dispute arising in connection with the Service, the court having jurisdiction over the location of the Company’s head office shall be the exclusive court of first instance.
